Affiliate Program Terms

By applying to the Keirolabs affiliate program (“Program”), being approved, or otherwise participating as an affiliate, you agree to these Affiliate Program Terms (“Terms”). If you do not agree, do not participate. These Terms incorporate by reference the Keirolabs Terms of Service at platform.keirolabs.cloud/terms; where these Terms conflict with the main Terms of Service on matters specific to the Program, these Terms control.

The Program is administered by Keirolabs (“Keirolabs”, “we”, “us”) and, for tracking and partner management, by our partner platform Rekomi. We may accept or decline any application at our sole discretion.

You promote Keiro to your audience with a tracked referral link. When someone you refer becomes a paying customer, you earn a recurring commission on their subscription for as long as they remain a paying customer:

• 30% of every subscription payment the referral makes during their first 12 months as a paying customer.
• 20% of every subscription payment they make after that, for as long as they stay subscribed. There is no cap and no expiration tied to your own account activity.

The 12-month clock starts on the referral’s first paid invoice, not on signup. Time they spend on the Free tier does not consume the window.

Commissions are calculated per referral, on the subscription itself:

• Renewals count. Every invoice in the eligible window is commissionable, including automatic renewals on both monthly and annual billing.
• Upgrades and downgrades count. If your referral moves from Essential to Pro, your 30% applies to the new, higher invoice. If they downgrade, it applies to the lower one.
• Switching billing cycles counts. Monthly and annual invoices are commissioned on the same schedule. A referral who pays annually is commissioned 30% on their first annual invoice and 20% on the renewal that lands after their first 12 months as a paying customer.
• The rate follows the clock, not the plan. A referral who upgrades to Startup in month 11 earns you 30% on those Startup invoices until month 12 closes, then 20% from month 13 on.
• Commission is on what the customer actually pays, net of any promotional credits applied to their account. It is not a commission on list price.
• One referral, one affiliate.If two affiliates are involved in one customer’s journey, attribution rules in Section 05 decide who earns. Commissions are never split.

Commission accrues when the customer’s payment succeeds and becomes payable per Section 06. A customer who cancels stops generating commission from the date their subscription ends; anything already accrued on successful payments is kept.

The Program covers paid subscriptions, monthly or annual. A referral generates commission on an actively billed paid subscription: Essential, Pro, or Startup, on either billing cycle. Commission follows the payments the referral actually makes, so switching between monthly and annual billing never removes a subscription from the commissionable base.

The following are not commissionable:

• One-time purchases. Credit packs, top-ups, and any single-time payment are excluded.
• Enterprise and custom contracts negotiated directly with sales, including custom volume pricing.
• The Free tier. There is no invoice to commission on, and Free usage does not start or extend any clock.

Usage overage that is billed as part of a subscription invoice counts with that invoice. Usage billed through any excluded channel does not.

When someone clicks your tracked link, we set an affiliate cookie valid for 120 days from that first click. If they sign up for a paid plan within that window, the referral is attributed to you.

The most recent qualifying click within the window wins. If your referral later clicks another affiliate’s link before signing up, that most recent link gets the attribution; this is standard last-click attribution within the window.

The cookie only needs to win once. After a signup is attributed to you, the commission relationship is tied to the customer account, not the browser cookie. A referral who subscribes in month 2 and stays for 4 years keeps earning for their entire lifetime: 30% for their first 12 months of payments, then 20% after, even if the cookie itself expired long ago.

Clearing cookies, browsing in private mode, or switching devices does not extend or reset the 120-day window. If a customer returns through your link again after the window closed, a new window opens on that new qualifying click; if they are already an attributed customer, attribution does not change.

Payouts are automated and run every month through Stripe. There is no manual invoicing: your commission balance is calculated by Rekomi, our partner manager, and paid out via Stripe on the monthly cycle.

• No minimum payout. Every accrued balance is paid in full each cycle. Nothing expires while your account is active and in good standing.
• Payment methods are those Stripe supports in your country, with tax forms collected by Rekomi at onboarding. You are responsible for the accuracy of your payout details.
• Currency. Commissions accrue in USD, matching subscription revenue. Payout currency conversion is handled by Stripe at payout time.
• Refunds and chargebacks are deducted from future balances (Section 07). If your account terminates with an outstanding negative balance, we may net it against anything owed.

Commission is earned on money that sticks. When a payment you earned commission on is refunded, disputed, or charged back, the corresponding commission is reversed:

• Reversals are deducted from your next payout. If your balance is insufficient, it may go negative and be recovered from future earnings.
• If a refunded referral resubscribes later, the new subscription is commissioned as if new, including the 12-month 30% window restarting on the first paid invoice of the new subscription.
• Commission found to be earned through conduct prohibited in Section 09 is clawed back in full, and the account is terminated for cause (Section 10).

The Program is open to creators, educators, maintainers, agencies, newsletter and directory operators, consultants, and anyone with an audience of developers. There are no follower minimums, no content quotas, and no traffic minimums.

• One account per person or entity. You may not hold multiple accounts, and you may not participate through an account owned by someone else on your behalf.
• Approval is required. Applications are reviewed within 24 to 48 hours. We may decline or later remove any affiliate at our discretion, per Section 10.
• Accurate information. You must provide truthful identity, audience, and payout information. Payout identity must match the person or entity that owns the account.
• Minimum age. You must be 18 or older, and old enough to contract in your jurisdiction.

The Program is built for people who bring real developers to Keiro. The following are prohibited and, unless stated otherwise, are grounds for termination for cause and forfeiture of unpaid balances:

• Self-referrals. Referring yourself, your own company, a client you control, or any billing identity you or your household control.
• Brand bidding.Bidding on “Keiro”, “Keirolabs”, or trademark variants in Google Ads, Bing Ads, or any paid social/search placement, including lookalike keywords like “keiro api”. Organic SEO and content traffic is yours to keep.
• Lookalike domains. Registering or using domains that imitate Keirolabs branding or misspell the brand (typosquatting), or creating pages that could be mistaken for official Keirolabs properties.
• Cookie stuffing and forced clicks. Any technique that sets the affiliate cookie without a genuine user click: iframes, hidden links, pop-under loaders, auto-redirect chains, click incentives.
• Spam. Unsolicited bulk email, DMs, comment dropping, or posting your link in communities whose rules you are breaking.
• Misleading claims. Inventing benchmarks, prices, features, or discounts. Cite our published numbers or link to them. Do not present yourself as speaking for Keirolabs or imply endorsement beyond the Program.
• Incentivized signups. Paying or rewarding people for clicking or signing up through your link.
• Anything unlawful, or anything that would breach the Keirolabs Terms of Service or acceptable use policy.

When in doubt about a tactic, email us before using it. Getting a written yes keeps the tactic safe.

These Terms apply from the moment you are approved and continue until terminated.

• By you, anytime. Email us to leave the Program. No exit fees, no clawbacks on honestly earned commissions.
• By us, for convenience.With 30 days’ notice by email. New referrals made after the notice date are not attributed to you.
• By us, for cause. Immediately, for Section 09 violations, fraud, or chargeback abuse. Commissions earned through the violating conduct are forfeited in full.

What survives termination. If you leave in good standing, customers already attributed to you keep generating commission on the standard schedule (30% for their remaining first 12 months, then 20% for as long as they stay), until each referral cancels. New signups after termination are not attributed to you, and your link is deactivated. Payout of accrued balances continues through the normal monthly cycle until settled.

We may update these Terms as the Program evolves. Material changes are emailed to active affiliates and take effect 30 days after notice, except changes required by law or payment-processor requirements, which take effect when stated.

Grandfathering: changes to commission rates never apply retroactively. A referral attributed before a change keeps the schedule in force when they were attributed, for the full lifetime of their subscription. New referrals after the effective date use the new schedule. Continuing to participate after the effective date means accepting the updated Terms.

You participate in the Program as an independent contractor. Nothing in these Terms makes you an employee, agent, partner, or joint venturer of Keirolabs, and you have no authority to bind Keirolabs or to make commitments on its behalf.

• Commission income is your income. You are responsible for your own taxes; Rekomi collects the applicable tax forms at onboarding and handles reporting required of it.
• You are responsible for compliance with disclosure requirements in your jurisdiction, including the FTC Endorsement Guides: disclose the affiliate relationship clearly and conspicuously where you promote Keiro (a “#ad” or “affiliate link” notice on the content where the link appears is enough).
• You own your content. Keirolabs may link to, quote, or feature affiliate content publicly, and you may opt out by email.

The Program, the Keirolabs service, and these Terms are subject to the Keirolabs Terms of Service and Privacy Policy at platform.keirolabs.cloud. Where these Terms are silent, the main Terms of Service apply.
